Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between Courtasy (“Company,” “we,” “us,” or “our”) and the legal entity or individual (“Customer,” “you,” or “your”) accessing or using the Platform at https://courtasy.com.

By registering for an account, clicking “I Agree,” or using the Platform in any way, you confirm that: (1) you have read and understood these Terms; (2) you are duly authorized to enter into this agreement on behalf of your organization; and (3) you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

3. Eligibility & Account Registration

3.1 Eligibility

The Platform is available exclusively to businesses and legal entities. You must be a duly registered business or operate as an authorized individual acting on behalf of one, be at least 18 years of age, and have full authority to enter into this agreement on behalf of your organization.

3.2 Account Registration

You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at legal@courtasy.com if you suspect any unauthorized access.

3.3 Account Security

You shall not share account credentials with unauthorized individuals. Each Authorized User must have a unique login. You are solely responsible for all actions taken by Authorized Users under your account.

4. Subscriptions, Pricing & Payments

4.1 Subscription Plans

Access to the Platform is provided on a subscription basis. Subscriptions renew automatically unless cancelled in accordance with Section 13.

4.2 Fees & Billing

  • Fees are charged in advance on a monthly or annual basis as elected.
  • All fees are in USD unless otherwise stated in an Order Form.
  • Payment is processed via Stripe. By providing payment details, you authorize us to charge applicable fees.

4.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by applicable law (including GST in India), excluding taxes on Courtasy's net income.

4.4 Late Payment

Unpaid invoices past 14 days from the due date may result in suspension of your account. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum permitted by law, whichever is lower.

4.5 Refunds

Fees are generally non-refundable, except where required by law or as expressly stated in an Order Form. Unused portions of annual plans are not refunded upon early termination.

4.6 Price Changes

We will provide at least 30 days' written notice before changing subscription pricing. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

5.1 Permitted Use

You may use the Platform solely for your internal business operations in accordance with these Terms.

5.2 Prohibited Use

You must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Transmit viruses, malware, or any harmful code
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform
  • Scrape, mine, or harvest data from the Platform using automated tools without prior written consent
  • Sub-license, resell, or make the Platform available to third parties outside your organization without our written consent
  • Use the Platform to store or transmit infringing, defamatory, or otherwise unlawful content
  • Attempt to circumvent any security measures or access controls
  • Overload, disrupt, or impair the infrastructure of the Platform

Violation of this section may result in immediate suspension or termination of your account without notice or refund.

6. Customer Data

6.1 Ownership

You retain full ownership of all Customer Data. We claim no intellectual property rights over Customer Data.

6.2 License to Courtasy

You grant Courtasy a limited, non-exclusive, royalty-free license to process, store, and use Customer Data solely to the extent necessary to provide and improve the Platform under these Terms.

6.3 Your Responsibility for Customer Data

You represent and warrant that you have all rights, licenses, and consents necessary to submit Customer Data to the Platform, and that Customer Data does not violate any applicable law or infringe any third-party rights.

6.4 Data Portability

Upon request, we will provide an export of your Customer Data in a standard format within 30 days of a written request.

7. Intellectual Property

7.1 Platform Ownership

All rights, title, and interest in and to the Platform — including its software, design, user interface, documentation, algorithms, trademarks, and trade secrets — are and shall remain the exclusive property of Courtasy.

7.2 Feedback

If you provide suggestions, ideas, or feedback about the Platform (“Feedback”), you grant Courtasy a perpetual, irrevocable, royalty-free license to use such Feedback without obligation to you.

7.3 No Reverse Engineering

You shall not reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform.

8. Confidentiality

Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information, but no less than reasonable care. “Confidential Information” means any non-public information designated as confidential or that reasonably should be understood to be confidential.

Confidentiality obligations do not apply to information that is: (a) publicly known; (b) independently developed; or (c) disclosed pursuant to legal obligation with prior notice to the disclosing party where permitted.

9. Service Availability

We target 99.5% monthly uptime for the Platform, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance where feasible. Emergency maintenance may occur without prior notice.

The Platform is provided “as is” and “as available.” We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COURTASY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

11. Limitation of Liability

IN NO EVENT SHALL COURTASY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COURTASY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO COURTASY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Courtasy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your use or misuse of the Platform; (b) Customer Data or its submission to the Platform; (c) your violation of these Terms or any applicable law; or (d) your infringement of any third-party intellectual property or privacy right.

13. Termination

13.1 Termination by You

You may terminate your account at any time by providing 30 days' written notice to legal@courtasy.com. Termination does not entitle you to a refund of prepaid fees.

13.2 Termination by Courtasy

We may suspend or terminate your account immediately if:

  • You materially breach these Terms and fail to cure within 14 days of notice
  • You fail to pay fees when due
  • We are required to do so by law

13.3 Effect of Termination

Upon termination, all licenses granted to you cease immediately. We will make Customer Data available for export for 30 days, after which it will be deleted from our systems. Sections 7, 10, 11, 12, 15, and 16 survive termination.

14. Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or aspect of the Platform at any time with reasonable prior notice. We will not make changes that materially degrade core functionality without giving you at least 30 days' notice and a right to terminate without penalty.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

15.2 Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiation for a period of 30 days.

15.3 Arbitration

If the dispute is not resolved through negotiation, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, India. The seat of arbitration shall be India and proceedings shall be conducted in English.

15.4 Jurisdiction

Courtasy reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction. The parties consent to exclusive jurisdiction of courts in India for such matters.
